COMMERCIAL SANDBOX PILOT AGREEMENT & STATEMENT OF WORK

30-Day Sovereign Sports Wagering & Regulatory Compliance Evaluation

Parties: WhatsHot, Inc. (Wyoming Corp DA-000000992) / IMQbd 501(c)(3) & Client / Licensee

1. Recitals & Commercial Purpose

This Agreement is entered into by and between WhatsHot, Inc. & IMQbd 501(c)(3) ("Licensor/Provider"), a Wyoming corporate entity with offices in Laramie and Cheyenne, WY, and the undersigned sovereign tribal nation, licensed gaming operator, or regulatory authority ("Client/Licensee").

Licensor has engineered, pre-certified, and brought to market an enterprise-grade quantitative sports wagering platform complying with GLI-33 (Event Wagering Systems) and GLI-19 (Interactive Gaming Systems), featuring sub-second in-play WebSocket odds, proprietary Gaussian Copula Same-Game Parlay (SGP) pricing, automated FinCEN Title 31 AML ($3K CTR / $10K SAR) monitoring, and a continuous segregated patron escrow reserve ledger. Client wishes to deploy, evaluate, and stress-test an isolated instance of this platform.

2. Scope of Pilot Deliverables

Dedicated Technical Support	Direct access to Principal Investigator Jon Vierk and engineering team (up to 20 hours).	Sandbox provisioning within 5 business days.

3. Pilot Evaluation Fee & 100% Commercial Rollover Credit

        FIXED 30-DAY PILOT FEE: $25,000.00 USD (Payable upon execution)

        100% Commercial Credit Guarantee: If Client elects to transition to a full commercial platform deployment upon or before the conclusion of the 30-day evaluation, one hundred percent (100%) of the $25,000.00 Pilot Fee shall be credited directly against Client’s Year 1 Platform License Fees.

4. Pre-Negotiated Post-Pilot Commercial Terms

Upon completion of the pilot, Client may exercise an exclusive option to convert into a multi-year commercial license under either of the following baseline structures:

Option A (Turnkey Sovereign SaaS): $18,500.00 / month platform license + 7.5% Gross Gaming Revenue (GGR) revenue share on Net Win.
Option B (SGP Copula API Only): $5,000.00 / month flat subscription for unlimited high-throughput API pricing queries into Client's existing sportsbook frontend. Zero GGR rev-share.

5. Remittance & Operating Depository Details

Remittance shall be made via ACH or Federal Wire Transfer to Licensor's verified corporate account:
